Consolidation of environmental protection assets in the ORLEN Group

​In the transaction of 26 June 2014, ORLEN Eko Sp. z o.o. (hereinafter referred to as ORLEN Eko) purchased from ANWIL S.A. (hereinafter referred to as ANWIL) and Przedsiębiorstwo Inwestycyjno– Remontowe RemWil Sp. z o.o. (hereinafter referred to as RemWil), ANWIL’s subsidiary, a total of 100% shares in Chemeko Sp. z o.o. (hereinafter referred to as Chemeko), which is part of ANWIL Group.
 
The transaction was effected as part of the Concern’s environmental protection strategy, which assumes consolidation of environmental protection assets around ORLEN Eko. The transaction is also consistent with PKN ORLEN’s strategy for optimising the ownership structure of the ORLEN Group. Consolidation will also improve the segment management process and allow for the introduction of uniform standards for ORLEN Group companies in the area of environmental protection by fully optimising processes and services.
 
Mr Piotr Chełmiński, Member of the Management Board of PKN Orlen overseeing Development and Power Generation and the President of ANWIL’s Supervisory Board, commented on the deal as follows:
 
“Consolidation of environmental protection assets is fully consistent with PKN ORLEN’s strategy in this area and is integral to increasing effectiveness both of ORLEN Eko as well as ANWIL. Acquisition of Chemeko by ORLEN Eko is an important step towards creating a strong entity with high potential, allowing to provide services to the entire ORLEN Group and to compete on the environmental protection services market.”
 
ORLEN Eko was established on 1 September 2004. The Company’s headquarters is in Płock. The Company has 8 Regional Teams located in all major cities in Poland. ORLEN Eko’s operations cover waste management with the use of installations for recovery and neutralisation of waste including hazardous waste. The Company also provides services related to work safety, fire prevention, maintenance of life-saving equipment and portable fire fighting as well as environmental protection including land and water environment monitoring and emissions measurement. PKN ORLEN is the main client of ORLEN Eko. The Company also provides services to other entities from the ORELN Group and companies outside the group.
 
Chemeko was established in 1994 in the process of restructuring Zakłady Azotowe Włocławek S.A. (presently ANWIL). The Company’s headquarters is in Włocławek. Chemeko provides comprehensive services related to monitoring the condition of and impact on the environment. The company employs experts and has technical potential that allows to measure a variety of parameters related to releasing substances into the natural environment as well as workplace factors. Moreover, the company provides comprehensive land surveying services.
